TERMS & CONDITIONS – BETTER SPIRITS, LLC

These Terms & Conditions (“Terms”) govern your access to and use of the website located at bailaspirits.com and any related content, functionality, and services provided by Better Spirits, LLC (“Better Spirits,” “we,” “us,” or “our”) (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Site.
1. Eligibility and Legal Drinking Age
The Site and any purchase of alcoholic beverages are intended only for individuals who are of legal drinking age in their jurisdiction and at least twenty-one (21) years old in the United States. By using the Site, you represent and warrant that you are of legal drinking age where you reside and at least 21 years of age if you are in the United States. If you cannot make these representations, you must not use the Site or place orders.
2. Changes to These Terms
We may update these Terms from time to time. The “Effective Date” will be updated accordingly and additional notice may be provided as required by law. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
3. Relationship with Licensed Retailers, Third-Party Platforms, and AccelPay
Better Spirits does not hold all licenses required to sell alcohol directly. Alcoholic beverages purchased through the Site are sold and fulfilled by licensed retailers, distributors, and third-party commerce platforms (“Licensed Retailers”). The Site may allow purchases from Licensed Retailers participating in the AccelPay network. Better Spirits does not enter into the sale of alcoholic beverages between you and Licensed Retailers. Your purchases are also subject to the terms and policies of Licensed Retailers and, where applicable, AccelPay. If you do not agree to those terms, do not place an order.
4. Use of the Site; Intellectual Property
You are granted a limited, revocable, non-exclusive, non-transferable license to use the Site for personal, non-commercial purposes. You agree not to use the Site unlawfully, violate laws, interfere with operation, attempt unauthorized access, use automated tools without permission, or remove proprietary notices. All Site content (text, graphics, logos, images, videos, software, and design) is owned by or licensed to Better Spirits and protected by law. “Baila,” “Better Spirits,” and related marks are trademarks and may not be used without permission.
5. User Content and Feedback
If you submit reviews, comments, photos, or other content (“User Content”), you represent you have rights to do so and that it violates no laws or third-party rights. You grant Better Spirits a worldwide, perpetual, royalty-free, irrevocable, transferable, sublicensable license to use and display such User Content for lawful purposes. Feedback you provide may be used without restriction or compensation.
6. The Sale of Alcoholic Beverages
“Products” include alcoholic beverages and related non-alcoholic merchandise. By placing an order, you represent that you are at least 21 years old, purchasing for personal consumption or gifting to another adult 21+, and that both your state of purchase and delivery permit alcohol shipment. You agree to indemnify Better Spirits and Licensed Retailers for damages arising from false representations.
7. Alcohol Orders, Shipping, and Delivery
Orders placed through the Site are offers to purchase from Licensed Retailers. Confirmation does not guarantee acceptance. Licensed Retailers may accept or reject orders. They and their carriers are responsible for shipping and delivery. Shipping restrictions may apply based on state law or address type. Deliveries require an adult 21+ with valid ID. Carriers may refuse delivery if age cannot be verified or if delivery would be unsafe.
8. Returns, Missing or Damaged Goods, Failure to Deliver, and Refunds
Alcoholic beverage sales are typically final unless required by law or allowed by Licensed Retailers. For damaged or incorrect goods, contact the support channel listed in your order confirmation. Failed deliveries due to address or availability issues may incur fees. Refunds for defective or damaged products are issued by the original payment method in accordance with retailer and AccelPay policies.
9. Pricing, Promotions, and Errors
Prices, descriptions, and promotions may change at any time. Errors may be corrected, and orders relying on incorrect information may be cancelled, with refunds for cancelled portions. Promotions or discount codes may be subject to additional terms.
10. Third-Party Websites and Services
The Site may link to third-party websites or services. Better Spirits does not control or endorse these services and is not responsible for their content, policies, or practices. Use of third-party services is at your own risk.
11. Disclaimer of Warranties
To the fullest extent permitted by law, the Site and all related content and services are provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not guarantee uninterrupted or error-free operation, or that the Site is free of harmful components. Use of the Site is at your own risk.
12. Limitation of Liability
To the maximum extent permitted by law, Better Spirits and its affiliates will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, revenue, data, or goodwill. Total liability will not exceed the greater of (a) the amount you paid for products in the prior six months, or (b) $100 USD.
13. Indemnification
You agree to indemnify and hold harmless Better Spirits, Licensed Retailers, AccelPay, and their affiliates from claims arising from your use of the Site, violation of these Terms, infringement of third-party rights, or User Content you submit.
14. Governing Law; Dispute Resolution; Class Action Waiver
These Terms are governed by the laws of . Disputes must first be attempted informally. If unresolved within 60 days, disputes will be resolved by binding arbitration (except small-claims matters). You waive the right to participate in class actions. Better Spirits may seek injunctive relief in court to protect intellectual property or confidential information.
15. Termination
We may suspend or terminate access for violations, fraud, security issues, or discontinuation of the Site. Sections that naturally survive termination—such as intellectual property, disclaimers, liability limits, indemnification, and dispute resolution—remain in effect.
